Private Business Group Membership Terms

 

The following Policy governs your participation in the Program presented by Gold Standard Marketing FZ-LLC (hereinafter referred to as “Company”) Please read this Policy carefully. By visiting and using the Program Portal/Membership Site you agree that your use of our Site, participation in our Program, and use of Program materials is governed by the following terms and conditions. 

 

We are committed to providing all participants with a positive experience. Thus, COMPANY may, at its sole discretion, limit, suspend, or terminate your participation in any of its programs, live, recorded, social media-based or digital without refund or forgiveness of remaining payments if:

 

  • you become disruptive or difficult to work with;
  • you fail to follow the program guidelines; or,
  • you impair the participation of our instructors or participants in our program(s).

 

Program Deliverables: 

 

  • Continued Monthly Access to the Creative Goild Standard, The Gold Standard & all membership benefits inc zoom coaching sessions and whatsapp group support.

 

Content:

 

  • Program education and information is intended for a general audience and does not purport to be, nor should it be construed as, specific advice, tailored to any individual.   

 

  • All materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available Company or its designated facilitators, or any other source, oral or written, are for personal use in or in conjunction with this training program only.  

 

  • Program content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of Company, or its designated agent. 

 

  • The information contained in program material is strictly for educational purposes. Therefore, if you wish to apply ideas contained in this material, you are taking full responsibility for your actions.

 

  • We assume no responsibility for errors or omissions that may appear in any program materials. 

 

  • Usernames and passwords may not be shared with any third-parties. 

 

  • Any violation of Company’s policies regarding content usage shall result in the immediate termination of your enrollment without refund.

 

Privacy & Confidentiality:

We respect your privacy and must insist that you respect the privacy of fellow Program participants. 

 

We respect your confidential and proprietary information in the form of ideas, plans and trade secrets (collectively, "Confidential Information") and must insist that you respect the same rights of fellow Program participants and of the Company.

 

Thus, you agree:

  • Not to infringe any Program - participants or the Company's copyright, patent, trademark, trade secret or other intellectual property rights;
  • That any Confidential Information shared by Program participants or any representative of the Company is confidential and Proprietary, and belongs solely and exclusively to the Participant who discloses it or the Company;
  • not to disclose such information to any other person or use it in any manner other than in discussion with other Program participants during Program sessions;
  • that all materials and information provided to you by the Company are its confidential and proprietary intellectual property belong solely and exclusively to the Company, and may only be used by you as authorized by the Company;
  • the reproduction, distribution and sale of these materials by anyone but the Company is strictly prohibited;
  • that if you violate, or display any likelihood of violating, any of your agreements contained in this paragraph the Company and/or the other Program participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.

 

While you are free to discuss your personal results from our programs and training, you must keep the experiences and statements, oral or written, of all other participant(s) in the strictest of confidence.

 

Interactive Features

It is a condition of your use of the Site and participation in the Program that you do not:

  • Restrict or inhibit any other user from using and enjoying the Site. 
  • Use the Site to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. 
  • Interfere with or disrupt any servers or networks used to provide the Site or its features, or disobey any requirements, procedures, policies or regulations of the networks we use to provide the Site. 
  • Use the Site to instigate or encourage others to commit illegal activities or cause injury or property damage to any person. 
  • Gain unauthorized access to the Site, or any account, computer system, or network connected to this Site, by means such as hacking, password mining or other illicit means. 
  • Obtain or attempt to obtain any materials or information through any means not intentionally made available through this Site. 
  • Use the Site to post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law. 
  • Use the Site to post or transmit any information, software or other material that violates or infringes upon the rights of others, including material that is an invasion of privacy or publicity rights or that is protected by copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder. 
  • Use the Site to post or transmit any information, software or other material that contains a virus or other harmful component. 
  • Use the Site to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising. 
  • Use the Site to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval. 
  • Gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Site. 

 

COMPANY may host Facebook groups, message boards, chats and other public forums. Any user failing to comply with the terms and conditions of this Agreement may be expelled from and refused continued access to, the message boards, chats or other public forums in the future. COMPANY or its designated agents may remove or alter any user-created content at any time for any reason. Groups, chats and other public forums are intended to serve as discussion centers for users and subscribers. Information and content posted within these public forums may be provided by COMPANY staff, COMPANY's outside contributors, or by users not connected with COMPANY, some of whom may employ anonymous user names. COMPANY expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages. Under no circumstances will we, our affiliates, suppliers or agents be liable for any loss or damage caused by your reliance on information obtained through these forums. The opinions expressed in these forums are solely the opinions of the participants, and do not reflect the opinions of COMPANY or any of its subsidiaries or affiliates. 

 

COMPANY has no obligation whatsoever to monitor any of the content or postings on the message boards, chat rooms or other public forums on the Sites. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, our clients, sponsors, users and visitors. 



Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL WE, OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE, INCLUDING OUR MESSAGING, BLOGS, COMMENTS OF OTHERS, BOOKS, EMAILS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE OR BY US IN ANY WAY, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. (BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY AND THE LIABILITY OF OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES IS LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH STATE LAW.) YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER. IF YOU ARE DISSATISFIED WITH THE SITE, ANY MATERIALS, PRODUCTS, OR SERVICES ON THE SITE, OR WITH ANY OF THE SITE'S TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND THE PRODUCTS, SERVICES AND/OR MATERIALS.

THIS SITE IS CONTINUALLY UNDER DEVELOPMENT AND COMPANY. MAKES NO WARRANTY OF ANY KIND, IMPLIED OR EXPRESS, AS TO ITS ACCURACY, COMPLETENESS OR APPROPRIATENESS FOR ANY PURPOSE. 

NEITHER [Your Company] NOR ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS AND AGENTS  ARE FINANCIAL ADVISERS AND NOTHING CONTAINED

HEREIN IS INTENDED TO BE OR TO BE CONSTRUED AS FINANCIAL ADVICE.

Dispute Resolution

 

  • All disputes arising under or concerning this Agreement are to be submitted to binding arbitration, in Dubai, UAE.

 

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.

 

The arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action or private attorney general action) unless all relevant parties specifically agree to do so following initiation of the arbitration.

 

The Gold Standard Private Business Group Membership Terms & Conditions

 

  1.  Definitions. The following definitions apply to the Agreement: 

1.1 “Confidential Information” has the meaning set forth in Section 8.1 below. 

1.2 “Event(s)” means discussions, support groups, talks, events, sporting activities, and various adventure trips around the world that [Your Company] organizes, hosts, or sponsors. 

1.3 “Member(s)” means an individual that is at least eighteen (18) years old, an accredited investor (as defined by applicable securities laws), and holds a current Fitness and Bodybuilding Videography, The Gold Standard membership. 

1.4 “Membership Fees” means base fees for the right to be a Gold Standard Private Business Group member. Membership Fees do not include the costs for participating in any Events, such as admittance fees, travel, lodging, meals or other costs and fees related to an Event all of which you will be responsible for paying in addition to your Membership Fees. 

1.5 “Opportunity” means any exchange of information between one or more Fitness and Bodybuilding Videography, The Gold StandardMembers for purposes of business dealings and/or investment opportunities. 

1.6 “Term” has the meaning set forth in Section 7.1

  1.  Membership Rules. 

3.1 Member Civility and Privacy. You hereby agree to (i) treat all Members of Fitness and Bodybuilding Videography, The Gold Standard Private Business Group and its staff with the utmost respect and civility at all times; (ii) not disparage, or otherwise take any action that could reasonably be expected to adversely affect Fitness and Bodybuilding Videography, The Gold Standard Private Business Group or its officers, directors, shareholders, Members, managers, employees, agents, attorneys and affiliates, or any business operations or personal reputations of any of the foregoing; and (iii) respect the privacy of all Fitness and Bodybuilding Videography, The Gold Standard Private Business Group Members at all times and comply with the confidentiality obligations of this Agreement pursuant to Section 8 to protect the Confidential Information of Fitness and Bodybuilding Videography, The Gold Standard Private Business Group its Members. 

3.3 No Transfer. Spouses, partners, and any other family member is not deemed a member pursuant to your Fitness and Bodybuilding Videography, The Gold Standard Private Business Group membership, but spouses, partners, and other family members may participate in Fitness and Bodybuilding Videography, The Gold Standard Private Business Group Events. You may not transfer or assign this Agreement or your membership, in whole or in part, to anyone at any time. Any purported transfer or assignment in violation of this section shall be void. Furthermore, although you may participate in events with other organizations, the rights, benefits, and protections that you receive with your Fitness and Bodybuilding Videography, The Gold Standard Private Business Group under this Agreement will not carry over to any other organization or its events. 

3.4 No Ownership. You hereby agree that this Agreement does not convey to you any rights in ownership in or to Fitness and Bodybuilding Videography, The Gold Standard Private Business Group recognize and agree that Fitness and Bodybuilding Videography, The Gold Standard Private Business Group is solely operated by the Owner Members. 

  1.  Events. 

4.3.1 By attending and participating in any Events, you recognize and are aware that Fitness and Bodybuilding Videography, The Gold Standard Private Business Group may photograph, videotape, audiotape, record, and/or otherwise capture you, your person, your image, your face, your name, your likeness, your appearance, your voice and other personal characteristics of you on tape, videos, recordings, in photographs, and in other form of media, either physical or digital (the “Recordings”). You hereby grant irrevocable and unlimited permission for Fitness and Bodybuilding Videography, The Gold Standard Private Business Group and its designated sponsors, endorsers and affiliates to, in their sole discretion, use and publicly display, publicly perform and show, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adopt, create derivative works, exploit, sell, rent license and/or otherwise use the Recordings as well as testimonials or other statements that you provide and all materials created by or on behalf of Fitness and Bodybuilding Videography, The Gold Standard Private Business Group (collectively, the “Materials”) on a perpetual basis throughout the World. 

4.3.2 You acknowledge that you will not receive any form of compensation from Fitness and Bodybuilding Videography, The Gold Standard Private Business Group relating to the publication, distribution or other use of the Recordings or Materials. Fitness and Bodybuilding Videography, The Gold Standard Private Business Group shall own, and you hereby assign to Fitness and Bodybuilding Videography, The Gold Standard Private Business Group, your entire right, title and interest, if any, in and to the Recordings and Materials and all copyrights in the Recordings and Materials. You acknowledge and agree that you have no right to review or approve the Recordings and Materials before they are used. You hereby irrevocably waive all legal and equitable rights under this Section and the use of the Recordings and Materials. 

  1.  Business Opportunities and Investments. 

5.1 If you discuss and/or offer any Opportunity to any other Member, you will supply accurate and complete information regarding the Opportunity at all times, and will comply with all applicable laws, regulations, and rules (including, but not limited to, securities laws and regulations) at all times during your participation and/or involvement with any Opportunity. 

5.2 Losses. You acknowledge that the results of your participation, whether directly or indirectly, in any Opportunity may vary substantially. Any Opportunity presented to you directly or indirectly through Fitness and Bodybuilding Videography, The Gold Standard Private Business Group may involve a significant degree of risk and may only be suitable for persons who are of adequate financial means, who have no need for liquidity with respect to such Opportunity, who fully understand, are willing to assume, and who have the financial resources necessary to withstand the risks involved in such Opportunity, including without limitation a total loss of their investment. You agree that you are or will be able to bear the loss of your entire investment in any Opportunity. 

5.3 Legal Implications. Notwithstanding anything to the contrary contained in this Agreement or derived from any materials, information, or statements made or received by Fitness and Bodybuilding Videography, The Gold Standard Private Business Group or its Members, you hereby acknowledge and agree that (a) Fitness and Bodybuilding Videography, The Gold Standard Private Business Group. is neither a law firm nor a tax or financial advisory firm and does not offer such services; (b) Fitness and Bodybuilding Videography, The Gold StandardPrivate Business Group does not provide legal, tax, investment, or any other advice or recommendations as to the viability of any Opportunity, and (c) any and all information you receive from Fitness and Bodybuilding Videography, The Gold Standard Private Business Group or its Members whether during an Event or at any other time is provided strictly “as-is” and Fitness and Bodybuilding Videography, The Gold Standard Private Business Group makes no representations or warranties in connection therewith. You are solely responsible for seeking independent counsel and outside advice, such as legal and tax advice, relating to any Opportunity. You alone are responsible for compliance with all applicable laws, regulations, and rules (including, but not limited to, securities laws and regulations) at all times during your participation and/or involvement with any Opportunity. 

5.4 Disclaimer. Fitness and Bodybuilding Videography, The Gold Standard Private Business Group and its employees, principals, agents, attorneys, and affiliates make no assurances that the objective(s) of the Opportunity will be achieved. Furthermore, Fitness and Bodybuilding Videography, The Gold Standard Private Business Group expressly disclaims any and all liability for any written or oral communication or information transmitted or made available to you as a result of your participation and/or being a Member of Fitness and Bodybuilding Videography, The Gold Standard Private Business Group. 

5.5 Waiver. In making any business and/or investment decision of any kind relating to any Opportunity, you agree that you will rely solely on your own examination of the Opportunity and the terms of the Opportunity, including the merits and risks involved. You agree that you voluntarily participate in any Opportunities and that the same is at your own risk. You further expressly waive and release any and all claims, now known or hereafter known in any jurisdiction throughout the World, against Fitness and Bodybuilding Videography, The Gold Standard, its officers, directors, employees, agents, attorneys, affiliates, shareholders, Members, successors and assigns resulting from, and/or relating to your discussion of, and/or participation in (whether directly or indirectly), any Opportunities. 

  1.  Membership Fees. 

6.1 Payment. You hereby agree to pay the Membership Fees as well as any other fees or expenses in connection with any Event (collectively, “Fees”). Unless otherwise agreed to in writing, all Fees are payable in full every 4 weeks, in advance and shall be deemed non-refundable upon payment. Fitness and Bodybuilding Videography, The Gold Standard Private Business Group reserves the right to increase, change the due date, and change the method of payment of any Fees. All pricing terms are confidential, and you agree not to disclose them to any third party. 

Fees are equal to a one time payment of £197 per 4 weekly term.

6.3 Disputes. If you believe your bill is incorrect, you must provide Fitness and Bodybuilding Videography, The Gold Standard Private Business Group a detailed written statement specifying your claim within thirty (30) days of the date of the invoice in question. After such a thirty day period any and all such claims shall be deemed waived by you. 

6.4 Nonpayment. In the event that you fail to pay Fitness and Bodybuilding Videography, The Gold Standard Private Business Groupany fees due hereunder, in addition to its other rights and remedies, Fitness and Bodybuilding Videography, The Gold Standard Private Business Group shall have the right, in its sole discretion, to cancel your membership upon providing written notice of your default and a thirty (30) day opportunity to cure such default. All fees due under this Agreement shall continue to be due and immediately payable. You agree to reimburse Fitness and Bodybuilding Videography, The Gold Standard Private Business Group for any and all collection costs (including attorneys’ fees and costs) incurred by Fitness and Bodybuilding Videography, The Gold Standard Private Business Group or its agents (including any collection agency and/or attorney(s) retained) in pursuing payment from you for any Fees not paid in accordance with the Agreement. 

  1.  Membership Term, Cancellation and Refunds. 

7.1 Term. Membership in Fitness and Bodybuilding Videography, The Gold Standard Private Business Group is granted on a rolling 4 weekly basis and may only be cancelled with a thirty (30) day cancellation notice. The membership will still be charged, in full, up. to this thirty (30) completion time.

7.2 Termination. This Agreement may only be terminated prior to the expiration of the Term as follows: 

(a) Fitness and Bodybuilding Videography, The Gold Standard Private Business Group reserves the right to cancel the membership of any Member if such Member behaves in a manner that disrupts or interferes with the Fitness and Bodybuilding Videography, The Gold Standard Private Business Group activities, fails to abide by the policies or regulations adopted by Fitness and Bodybuilding Videography, The Gold Standard Private Business Group from time to time (including, without limitation, your payment obligations under Section 6), or acts in a threatening, inappropriate or disrespectful manner toward Fitness and Bodybuilding Videography, The Gold Standard Private Business Group staff or other Members or their property as determined in the sole discretion of Fitness and Bodybuilding Videography, The Gold Standard Private Business Group

(b) At any time, you may submit a written cancellation request to [email protected], provided, however, that your membership will remain active and will not be deemed canceled until you receive written confirmation from Fitness and Bodybuilding Videography, The Gold Standard Private Business Group stating that your cancellation request has been processed. In the event that you choose to again become a Member after any termination of a previous membership, you will be bound by the Membership Fees then in effect. 

7.3 Members who cancel their membership to Fitness and Bodybuilding Videography, The Gold Standard Private Business Group will also forfeit complete access to any attached eproducts, events or services. Members who quit may purchase Fitness and Bodybuilding Videography, The Gold Standard, in its current .0 version, separately.

  1.  Confidentiality 

8.1 The term “Confidential Information” means all nonpublic and proprietary information of Fitness and Bodybuilding Videography, The Gold Standard Fitness and Bodybuilding Videography, The Gold Standard Private Business Group and all Members including, without limitation, the following information whether disclosed orally, visually, electronically or otherwise: (a) ideas, business plans, financing strategies, financial information, projections, trade secrets, information about personal lives, and all other information that a reasonable person would understand to be confidential; (b) all materials and information provided to you by Fitness and Bodybuilding Videography, The Gold Standard Private Business Group including, without limitation, these Terms and Conditions. Confidential Information does not include any information that is in the public domain through no fault of your own or that becomes known to you by any other source not otherwise bound by a duty of confidentiality. 

8.2 You agree not to disclose, reveal, distribute, share, transmit, copy and/or use any such Confidential Information other than to discuss the same with other Members at Events. You agree to protect all Confidential Information with the same degree of care that you would use to protect your own information, but in no event using less than a reasonable degree of care. You agree that any Confidential Information shared by any other Member, Fitness and Bodybuilding Videography, The Gold Standard Private Business Group  participant, and/or any representative of Fitness and Bodybuilding Videography, The Gold Standard Private Business Group is confidential and proprietary, and belongs solely and exclusively to the individual and/or organization who discloses it. 

8.3 Intellectual Property Rights. All copyrights, patents, trademarks, trade secrets, trade dress rights and/or other intellectual property or proprietary rights of any kind ("Intellectual Property Rights") created, employed by and/or registered by any other Fitness and Bodybuilding Videography, The Gold Standard Private Business Group Event participant, Member, and/or Fitness and Bodybuilding Videography, The Gold Standard Private Business Group itself are the sole property of such participant, Member, and/or Fitness and Bodybuilding Videography, The Gold Standard Private Business Group. Thus, you agree not to copy, misuse, appropriate and/or infringe Intellectual Property Rights of any other participant, Member, or Fitness and Bodybuilding Videography, The Gold Standard Private Business Group itself at any time during or after the Term of your membership. 

  1.  Limitation of Liability. 

9.1 YOU AGREE THAT YOU ARE SOLELY A MEMBER OF Fitness and Bodybuilding Videography, The Gold Standard Private Business Group  AT YOUR OWN RISK AND THAT ANY BENEFIT IN CONNECTION WITH OR DERIVED FROM YOUR MEMBERSHIP IS TAKEN BY YOU ON AN “AS IS” BASIS. FURTHERMORE, Fitness and Bodybuilding Videography, The Gold Standard Private Business Group SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT AND/OR CONSEQUENTIAL DAMAGES OF ANY KIND, RESULTING FROM ITS PERFORMANCE OR FAILURE TO PERFORM PURSUANT TO THE TERMS OF THIS AGREEMENT, OR RESULTING FROM THE EVENTS 

YOU PARTICIPATE IN PURSUANT TO YOUR MEMBERSHIP, INCLUDING WITHOUT LIMITATION ANY INTERRUPTION OF BUSINESS, WHETHER RESULTING FROM BREACH OF CONTRACT OR BREACH OF WARRANTY, EVEN IF THE PARTIES HERETO HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
